- *1\. Role Summary**
The AVP owns the interface between Treasury, Compliance, Finance and Technology. The role is accountable for the systems, data and controls that support securitisation, with priority on pass\-through certificate (PTC) transactions, as well as direct assignment (DA), for translating RBI regulations into timely system and process changes, and for governing the technology budget so that spend stays aligned to business priorities.
The AVP leads a small team, represents Technology in senior management and committee forums, and is the single point of accountability for regulatory and securitisation data quality on the technology side. The role also carries technology\-side ownership of data protection (DPDP Act) readiness and adherence to the company's IT governance framework.
- *2\. Key Responsibilities2\.1 Securitisation and loan transfer (HFC) – PTC as priority**
- **PTC transactions (priority):** Own the technology and data readiness for pass\-through certificate (PTC) issuances through an SPV/trust: pool cut, loan\-level data tape, tranche\-wise reporting and post\-closing servicing, with faster and error\-free turnaround on each deal.
- **Tranche structure:** Apply a working understanding of senior, mezzanine and junior (equity/first\-loss) tranches, and of credit enhancement (overcollateralisation, excess spread, cash collateral, first\-loss facility), when defining system logic, data fields and reports.
- **Cashflow waterfall:** Specify, build and validate the cashflow waterfall model: collections and prepayments, servicer and trustee fees, senior interest and principal, mezzanine and junior payouts, priority of payments, triggers and early\-amortisation conditions, and reserve/escrow movements.
- **Reconciliation and controls:** Ensure each monthly waterfall run ties to servicer collections, escrow and trustee statements, and to tranche\-wise investor payouts; investigate breaks and record sign\-offs.
- Own the end\-to\-end technology and data framework for securitisation, DA and co\-lending: pool selection, pool cut, loan\-level data tapes from the LMS/LOS, and post\-transfer servicing.
- Define and govern pool eligibility logic (seasoning, LTV, DPD, ticket size, ROI, product mix) against RBI norms, investor and rating agency criteria.
- Ensure system\-level compliance with RBI's securitisation and transfer of loan exposures directions, including minimum holding period (MHP), minimum retention requirement (MRR), true\-sale conditions and disclosures.
- Lead data and due\-diligence support to Treasury, trustees, servicers, rating agencies, auditors and legal counsel; sign off on data integrity before submission.
- Drive automation of servicer and investor reporting, collection and escrow reconciliation, waterfall checks and pool performance MIS (collection efficiency, prepayments, delinquency).
- Ensure sold and reversed loans are correctly tagged in the core system, and that charge creation and satisfaction (CERSAI, ROC) and servicing flags remain consistent after transfer.
- *2\.2 RBI regulatory compliance (technology and data)**
- Run the regulatory change process: track RBI circulars and master directions for HFCs and NBFCs (scale\-based regulation, IT governance, outsourcing of IT services, digital lending, KYC, fair practices, credit information reporting), assess impact and drive delivery to deadline.
- Own impact analysis, BRD/FRD approval, UAT governance and go\-live sign\-off for regulatory changes.
- Ensure the accuracy of regulatory returns and submissions through data mapping, source reconciliation, maker\-checker controls and audit trails.
- Serve as the technology counterpart to Compliance, Risk and Internal/IS Audit; own closure of IT\-related audit observations and report status to management.
- Support regulatory examinations and IT\-related inspection queries with accurate, evidence\-backed responses (see 2\.6 for governance and data protection).
- *2\.3 IT budget control and vendor governance**
- Own the annual IT budget (CapEx/OpEx) across projects, vendors and cost centres; present budget\-versus\-actual and forecast to the CTO/COO and CFO monthly.
- Approve or challenge vendor invoices, SOWs, change requests and AMC/licence renewals against contracts and approved budgets.
- Lead business cases, TCO and ROI analysis for new initiatives; run the prioritisation of the change backlog with business heads.
- Flag overruns and forecast variances early and present corrective options; enforce spend discipline and approval workflows.
- Lead vendor negotiations, SLA reviews and contract renewals; maintain vendor scorecards.
- *2\.4 Technology operations**
- Govern the change request pipeline, release calendar, and incident and problem management for LMS, LOS, collections, treasury and finance systems.
- Set and track SLA and turnaround targets; ensure root\-cause analysis and permanent fixes for repeat issues.
- Ensure process maps, data dictionaries, runbooks and SOPs are current and audit\-ready.
- Oversee production support, reconciliations, and month\-end and quarter\-end closures with IT, operations and business teams.
- *2\.5 Team leadership and stakeholder management**
- Lead, coach and set objectives for the team; build depth in securitisation, regulatory and budgeting skills.
- Represent Technology in forums with senior management, auditors, rating agencies and, where required, RBI inspection and supervisory interactions.
- Build a risk and controls culture: documented ownership, segregation of duties and evidence retention.
- *2\.6 Data protection (DPDP) and IT governance**
- **DPDP Act readiness:** Lead the technology side of compliance with the Digital Personal Data Protection Act, 2023 and its Rules: data inventory and mapping across LOS, LMS, collections and vendor systems, consent and notice capture, purpose limitation, data principal rights (access, correction, erasure, grievance), retention and deletion, and personal data breach detection and reporting.
- **Data sharing in securitisation and vendor flows:** Ensure loan\-level tapes shared with investors, trustees, rating agencies and vendors carry only necessary data, with masking or anonymisation where possible, and that data\-processor contracts and access controls meet DPDP and RBI outsourcing requirements.
- **Governance framework:** Operate within RBI's IT governance, risk, controls and assurance requirements: maintain IT policies and their review cycle, prepare papers for the IT Strategy Committee, IT Steering Committee and Board, and track committee decisions to closure.
- **Three lines of defence:** Keep clear ownership, segregation of duties, access reviews and evidence retention for technology controls, and work with Risk, Compliance and Internal/IS Audit as first\-line owner of remediation.
- **Third\-party and resilience oversight:** Own IT vendor risk assessments, exit plans and BCP/DR test evidence, and review cyber incident reporting and information security controls with the CISO and Compliance.
- **Awareness:** Run periodic briefings for the team and business users on data handling, privacy and governance expectations.
- *3\. Required Qualifications and Experience**
- Bachelor's degree in Engineering, Commerce, Finance or a related field; MBA (Finance), CA, CS or equivalent is a strong advantage.
- 10–14 years in an NBFC, HFC or bank, with hands\-on exposure to securitisation, particularly PTC transactions, plus DA or co\-lending operations.
- Strong understanding of securitisation structures: senior, mezzanine and junior tranches, credit enhancement, rating agency methodology and the cashflow waterfall, including the ability to build or review waterfall models in Excel/SQL.
- Deep working knowledge of RBI regulations for NBFCs/HFCs and how they translate into systems, data and controls.
- Working knowledge of the DPDP Act, 2023 and its Rules, and of RBI IT governance, outsourcing and cyber security requirements, with experience applying them in systems and vendor arrangements.
- Experience presenting to or preparing papers for IT/Board\-level committees and handling audit or regulatory inspections.
- Proven experience owning IT budgets and vendor contracts, including variance management and business case approval.
- Strong SQL and Excel skills; experience with BI tools (Power BI, Tableau or similar); ability to review and challenge analyst work.
- Track record of delivering BRDs/FRDs, UAT and regulatory go\-lives under fixed deadlines; familiarity with Agile and SDLC.
- Prior experience leading a team and presenting to senior management or committees.
- *4\. Preferred**
- Experience of end\-to\-end PTC issuance (arranger, trustee, rating agency and investor interactions) and of trustee/investor reporting platforms.
- Experience with LMS/LOS platforms used in housing finance, and with treasury tools.
- Understanding of housing loan products, LTV, PMAY subsidy processes and CERSAI/ROC filings.
- Familiarity with IS audit, ISO 27001 or COBIT, and API/integration basics.
- Certifications such as CBAP, PMP, CISA, CISM, CIPP/CIPM or Scrum, or data privacy certifications (e.g. DCPP).
- *5\. Key Competencies**
- Structured\-finance thinking: comfort with tranching, credit enhancement and waterfall mechanics, and the ability to explain them to non\-specialists.
- Strategic thinking with strong attention to data accuracy and control.
- Influence and communication with senior stakeholders, auditors and external counterparties.
- Prioritisation across regulatory, treasury and IT deadlines.
- Financial discipline and commercial judgement in vendor and budget decisions.
- Privacy and governance mindset: default to data minimisation, documented approvals and evidence.
- Ownership, integrity and people leadership in an audit\-sensitive environment.
- *6\. Success Metrics (First 12 Months)**
- Zero data\-quality exceptions in securitisation pool submissions and investor reports, with PTC deals executed on schedule.
- Tranche\-wise waterfall reports reconciled to servicer, escrow and trustee statements every month with no unresolved breaks.
- All regulatory changes delivered on or before RBI deadlines.
- IT spend variance within the agreed tolerance of approved budget.
- Measurable reduction in change request turnaround time and in ageing of audit observations.
- DPDP data inventory, consent and breach\-response process documented and approved, with gaps tracked to closure against the applicable timelines.
- IT governance committee papers and policy reviews delivered on schedule, with no overdue IT audit observations.
- Documented PTC data, waterfall and reporting framework, with automated reconciliations in place.
