Manager - Legal

• *Role Overview**

We are seeking an experienced legal professional to support the legal, compliance, and corporate governance requirements of our Company based in Pune. The incumbent will be responsible for managing commercial contracts, ensuring regulatory compliance, mitigating legal risks, and partnering with business stakeholders on legal matters.

• *Key Responsibilities:****1\. Legal drafting and Contract execution**
• Contract Management
• Draft, review, negotiate, and manage various commercial agreements including:
• Non\-Disclosure Agreements (NDAs)
• Master Service Agreements
• Vendor Contracts
• Consultant Agreements
• Statements of Work (SoWs)
• Software and Technology Agreements
• Legal Advisory
• Provide legal guidance to business, HR, procurement, finance, and operations teams.
• Advise on contract interpretation, risk assessment, and dispute avoidance, ensure timely closure of contracts while protecting organisational interests.
• Support business initiatives from a legal and compliance perspective.

• *2\. Compliance \& Governance**
• compliance with applicable laws, regulations, and internal policies.
• Monitor legal and regulatory developments impacting Organizational operations.
• Support internal audits and compliance reviews.
• Maintain legal records and documentation.
• Employment Law Support
• Advise HR on employee\-related legal matters.
• Review employment contracts, disciplinary actions, and policy frameworks.
• Support handling of employee grievances and compliance with labour laws.
• Litigation \& Dispute Management
• Coordinate with external legal counsel on disputes and legal notices.
• Maintain litigation records and track case status.
• Assist in dispute resolution and settlement discussions.

• *3\. Corporate Secretarial Coordination**
• Liaise with company secretaries and external advisors for statutory compliances.
• Support maintenance of corporate records and governance documentation.

• *4\. Data Privacy \& Risk Management**
• Assist in compliance with data privacy and confidentiality requirements.
• Review contractual obligations relating to information security and data protection.
• Identify legal risks and recommend mitigation strategies.

• *Required Qualifications**
• LLB from a recognised university.
• Enrolment with Bar Council preferred.
• LLM or Company Secretary qualification will be an added advantage.

• *Experience**
• 10\+ years of experience in corporate legal functions.
• Experience in IT/ITES, GCC, shared services, consulting, or service industries preferred.
• Strong exposure to commercial contracts and compliance management.
• Familiarity with employment laws and contract negotiations.
