The Role

We are seeking a highly analytical and detail\-oriented **Merchant Banking Associate (IPO Research \& Release)** to join our Investment Banking team. This role focuses on conducting due diligence, preparing IPO\-related documentation, performing valuation analysis, and coordinating with regulatory bodies for public issue releases. The ideal candidate will be a **qualified Chartered Accountant (CA)** with a strong understanding of capital markets, SEBI regulations, and IPO execution processes.

Responsibilities

· Conduct financial, business, and legal due diligence for companies planning to go public.

· Prepare and review Draft Red Herring Prospectus (DRHP), Red Herring Prospectus (RHP), and other offer documents in coordination with legal, compliance, and regulatory teams.

· Perform financial modeling, company valuation (DCF, comparable company analysis, precedent transactions), and peer benchmarking.

· Coordinate with clients, regulators (SEBI, ROC, stock exchanges), legal advisors, auditors, and internal stakeholders to ensure timely filing and release of IPOs.

· Assist in the preparation of marketing materials such as investor presentations, pitch books, and roadshow documents.

· Track regulatory changes, market trends, and IPO pipeline activity.

· Support senior bankers in deal structuring, investor outreach, and end\-to\-end IPO execution.

· Ensure full compliance with SEBI ICDR Regulations and other statutory requirements related to public offerings.

· Strong understanding of IPO processes, SEBI regulations, and financial reporting standards.

· Proficiency in financial modeling, valuation, and analysis tools (Excel, PowerPoint, Bloomberg, CapitalIQ, etc.).

Qualification

· **Qualified Chartered Accountant (CA)** – mandatory.

· 1 year of experience in merchant banking, investment banking, equity research, or a related financial advisory role.
