Senior Legal Manager

The Senior Legal Manager oversees the NBFC's complete legal function, providing strategic advisory to management on corporate governance, transaction execution, loan structuring, dispute resolution, and asset recovery. This individual manages internal legal teams, coordinates with external counsel, and protects the firm from operational, credit, and regulatory risk exposures.

1 . Transactional Documentation \& Deal Structuring

• **Draft and vet** credit\-related documents, including Facility Agreements, Loan Hypothecation forms, Co\-lending agreements, and Escrow arrangements.
• **Structure and close** complex market instruments such as Non\-Convertible Debentures (NCDs), Pass\-Through Certificates (PTCs), and Securitisation transactions.
• **Review fintech integrations**, checking digital customer onboarding journeys, product disclosures, consent protocols, and partner platforms.

2\. Litigation Management \& Debt Recovery

• **Drive asset recovery frameworks**, deploying legal instruments across SARFAESI Act, Debt Recovery Tribunals (DRT), Section 138 of the Negotiable Instruments Act (Cheque Bounce), and corporate arbitrations.
• **Formulate litigation strategies**, briefing external panel advocates and tracking high\-value cases to minimize provisioning impacts.
• **Manage title search reviews** and enforcement policies for asset\-backed portfolios (e.g., Loan Against Property or Construction Finance).

3\. Regulatory Advisory \& Compliance Support

• **Interpret and apply** continuous amendments from the Reserve Bank of India (RBI Master Directions), SEBI, FEMA, and the Ministry of Corporate Affairs (MCA).
• **Minimize legal risk** in new product rollouts, ensuring full adherence to the Fair Practices Code (FPC), KYC guidelines, and Data Protection mandates.
• **Collaborate with Internal Audit** and Compliance teams to map, remediate, and report operational risk vulnerabilities.

4\. Team Leadership \& Stakeholder Management

• **Manage relationships** with cross\-functional business heads, credit risk managers, and treasury leads.
• **Supervise, train, and mentor** junior legal officers, implementing tech automation (e.g., contract lifecycle management tools) to speed up turnaround times.

• *Education:** LL.B. or LL.M. degree from a recognized university.

• *Experience Profile:** Typically **10\+ years** of post\-qualification experience (PQE). A blend of background at a top\-tier law firm (Banking practice) and a leading NBFC or bank is preferred.
